The commercial mandate, in plain language.

1. Service

Business Heroes operates disclosed AI agents to research approved B2B markets, conduct permitted outreach, qualify business interest, schedule meetings and provide evidence and attribution reporting. The client controls its offer, ICP, exclusions, sending infrastructure, calendar, CRM, suppression data and final sales decisions.

2. Fees and payment

The standard fee is S$2,000 per month plus S$1,500 for each sales-accepted qualified meeting (“SAQM”), excluding applicable taxes and agreed pass-through costs. The recurring fee is charged at signup and monthly thereafter. An accepted SAQM is added once to the next automatic invoice. Stripe processes payment; the client authorizes recurring collection from its saved payment method.

3. SAQM acceptance

A meeting is billable only if it matches the signed ICP and problem, the prospect explicitly agreed to a relevant discussion, the prospect attends for at least ten minutes unless the client confirms fit or ends sooner, it is not excluded or suppressed, it is not a duplicate within 90 days, and the evidence trail is complete.

The client has two business days after receiving the evidence to reject a meeting against a specific signed criterion. If no supported rejection is received, the meeting is accepted. Prospect no-shows, pre-call cancellations, wrong-ICP meetings, duplicates and fraudulent identities are not billable. Reschedules count once when held. A client-caused no-show does not invalidate documented prospect attendance.

4. Client responsibilities

• Provide truthful offer claims, proof, ICP, exclusions, customer and open-opportunity lists.
• Provide legally usable sending, calendar and CRM access and maintain secure credentials.
• Attend meetings and update opportunity and collected-revenue outcomes.
• Not request deception, impersonation, unlawful data, regulated advice or prohibited-sector outreach.
• Use the service only for corporate B2B activity approved in the jurisdiction registry.

5. AI transparency and authority

AI agents identify themselves at first interaction. They may act only through typed tools and provider-enforced permissions. They cannot modify their own authority, create bank payees, change ownership, disable audit controls or agree bespoke legal terms outside the approved clause library.

6. No guarantee

Business Heroes does not guarantee meetings, opportunities, close rates or revenue. Outcomes depend on market conditions and the client's offer, reputation, pricing, responsiveness and delivery. Forecasts, benchmarks and attributable-revenue reports are measurements, not promises.

7. Data and intellectual property

Each party retains its pre-existing intellectual property. The client owns its confidential materials and client-specific campaign outputs after payment. Business Heroes retains its software, agent systems, templates, controls, anonymized aggregate benchmarks and general know-how. Personal data is handled under the privacy notice and, where applicable, a separate DPA.

8. Confidentiality and security

Each party must protect non-public information and use it only for the mandate. Business Heroes maintains reasonable technical and organizational safeguards but cannot promise that any internet service is invulnerable. Confirmed incidents affecting client data will be handled under the DPA and applicable law.

9. Suspension and termination

Either party may cancel through the customer portal for the end of the current paid period. Business Heroes may immediately suspend unsafe, unlawful, deceptive, sanctioned or unpaid activity. Accrued fees, accepted SAQMs, confidentiality, IP, data, liability and dispute provisions survive termination as applicable.

10. Liability and disputes

To the maximum extent permitted by law, neither party is liable for indirect or consequential loss. Business Heroes' aggregate liability arising from the service is capped at the fees paid by the client in the three months preceding the event, except for liability that cannot legally be limited. The parties will first attempt good-faith resolution. These terms are governed by Singapore law and disputes are subject to the courts of Singapore.

11. Standard terms only

The automated checkout accepts this approved version only. Any requested redline, non-standard commitment or authority outside the signed mandate is not accepted by an AI agent and requires a separately authorized legal process.
